A. Acceptance
1. For making the subscription/registration in Widbook, the USER shall carefully read the present "Acceptance and Use Terms" and, at the end, state its agreement to the provisions herein,
as well as to all conditions set forth herein. Should the User not agree to any of the conditions and / or provisions concerning any of the matters set forth in this Term,
he shall not complete his subscription / registration, and, therefore, he shall not create an account on Widbook.
a. The creation of an user account on Widbook shall only be completed after the user expresses his consent to all conditions for the proper use of Widbook website,
for disclosing of information, sharing of information, as well as all provisions concerning the privacy and security policy of the Widbook website.
b. We hereby reinforce that, should the User not agree to any of the conditions and / or provisions concerning any of the matters set forth in this Term,
he shall not complete its subscription / registration, and, therefore, he shall not create an account on Widbook website.
c. The consent stated by the User upon creating its account on Widbook website is extended to any product and / or program of Widbook,
provision of data and services submitted from or through Widbook to the User.
d. Said agreement can be stated by the User when clicking or agreeing to the present Term, should such option be afforded, or upon effectively using the services.
2. It is important to clarify that the present Term can be amended from time to time. With the intent to keep the User at all times informed as to such amendments,
the latest version of this Term will be available to the User on the footer of every page on the website, whereas the USER may refer to it at any given moment.
We point out that is the User's duty to periodically read the present term, so as to remain informed and be brought up to date to any amendments made herein.
a. Widbook may, at its sole discretion, and at any given time, change, review and alter the conditions provided herein, which will be available for reading by the User,
who shall comply with all such provisions. Should the user not agree to any amendment or changes made hereto, he shall close his account on the Widbook website.
b. None of the provisions herein shall be construed as an assignment of rights or benefits to any third parties.
3. Regarding legal qualifications for acceptance and agreement to the present Term, the USER represents to be (1) over 18 years old or a minor duly emancipated,
or have a legal authorization of the parents or the relevant custodians; and; (2) to be fully capable of consenting to the provisions, conditions, obligations, duties,
representations and guarantees set forth in this Term, as well as to perform and uphold them.
a. Widbook is a website that has not been designed for any public under 18 years of age. Therefore, should the USER be under the age of 18,
it shall not use or access the Widbook website. The User shall talk and obtain approval of his parents / tutors / responsible persons as to which websites are appropriate for his use.
4. It is important for the User to have knowledge that this website is controlled and offered by Widbook from its facilities in servers physically installed in the
United States of America. Widbook does not guarantee that its website is appropriate, or is available for use in other locations. Persons that access or use the
Widbook website from other jurisdictions do so on their own account and are responsible for complying with the local/national legislations.
B. Widbook Accounts
1. For having access to the contents made available by Widbook, the User will have to create an account on Widbook website.
The user cannot ever use another user's account without the relevant authorization. When creating its account, the User shall provide all data and information required,
in complete and accurate manner. The User is the sole party responsible for any activity carried out in his account, and he shall keep his login password in a safe place,
maintaining, thus, the confidentiality thereof.
a. The User shall give notice to Widbook through the specific form, provided on the footer of every page, forthwith, as to any security breach or undue or unauthorized
use of his account.
b. Although Widbook is not responsible for any loss of contents caused to the User due to the unauthorized use of his account, the User may be held liable for Widbook's losses,
or third parties', arising from the aforementioned unauthorized use.
C. Services
1. The provisions and conditions set forth in the Present Term are applicable to all users, especially for those who contribute to its content, i.e., with texts,
programs, scripts, graphics, pictures, sounds, music, videos, combined audiovisual presentations and other interactive materials the user may watch,
have access or contribute for the services. The service includes all aspects of Widbook and other applications.
2. It is important to clarify that the service may contain links to websites that dare not owned, controlled, nor have relationship to Widbook.
Therefore, Widbook has no control and not liable for any contents, privacy policies or any practices of any other third party website.
a. For having neither a bond nor control of third party websites, Widbook cannot censor, edit redact the contents of any third party websites. Before using the services,
the User expressly indemnifies and exempts Widbook from any liability arising from using any third party websites.
3. In light of the aforementioned, Widbook recommends to the User to read the terms and conditions and the privacy policy of any other websites visited after leaving
the Services pages.
D. Use of Widbook - Terms and Conditions
1. General Use of Services
a. Upon creating the account, and consequently agreeing to all provisions and conditions set forth in this Term, Widbook grants to the User permission to access
and use the services available on the website, within the outlines set forth herein, provided the user agrees:
i. Not to distribute to and/or by any means, any part of the services or contents, without the prior authorization in writing of Widbook, unless Widbook provides the distribution
means, through functions offered by the services;
ii. Not to change or alter any parts of the service;
iii. Not to access the contents through any technology or other means that not the WebPages offered by Widbook or though any other means expressly authorized and referred
by Widbook;
iv. Not use the services for any of the following business purposes, unless upon the previous authorization in writing of Widbook:
(i) marketing access to the services;
(ii) sale of advertisement, sponsoring or promotions linking the services of contents in any blog pages, certified ad or website containing the contents
delivered through the services, unless that other materials not obtained from Widbook appear on the same page, and of sufficient value to be the base of such sales.
b. For better use of the services, the User hereby acknowledges that Widbook may provide updated versions of the website, and agrees to receiving such updates,
automatically provided to the User.
c. The User agrees in not using or implementing any kind of authorized system, allowing access to the services through sending of application messages to the Widbook
servers in a given period of time that is humanly possible to answer in the same time windows through a conventional web browser.
d. The user agrees not to collect and not to request any personal information, including account names, service names, nor to use the communication systems provided
by the services, such as comments, on the feed page, typing screed of electronic text, for commercial purposes or business requests.
e. When using the services, the User is aware that he shall comply with all laws and regulations applicable, be those regional, national or international.
f. Widbook reserves the right to discontinue any aspects of the service at any given time.
2. Use of the Contents provided by Widbook and the Contents (material) created by the User.
a. The content of the services and the trademarks, services brands and logos are proprietary and / or licensed to Widbook, under reserve of copyright and other
intellectual property rights pursuant to law.
b. The Contents are provided to the User in the state as made available. The User may access the contents for exclusively personal use within the functionality
provided by the service, and, as allowed hereunder.
i. Will be permitted to the User to download any contents that not the ones linked to the services, provided such contents are made available by Widbook through
the specific downloading system, or through a specific sharing link.
c. The User may not copy, reproduce, distribute, transmit, send, display, license or explore the contents provided by Widbook for any other purposes without the
relevant express authorization.
i. Widbook reserves all rights that are not expressly assigned for Services and for Content.
d. The User agrees not to defraud, deactivate or in any other manner interfere with the features concerning the security of the Services or the features that avoid or
restrict the use or copy of any Content, or that impose limitations for use of either the Services or the Contents thereof.
e. The User agrees not to copy, reproduce, distribute, transmit, display, license or explore the contents made available by any other user of the services to any
third parties without the previous and express authorization of the respective user.
f. The User agrees that, when preparing his material, he shall comply with the legislation and take all due care regarding copyright and intellectual property rights of
materials prepared by any other party that not the User (text, sentences, publications, articles, images, pictures, videos and any other type of content).
i. Use understands that, when using third party's material, such as mentioned above, he shall obtain, when applicable the previous and express authorization so as not
to infringe any copyrights and / or any intellectual property rights of any third parties.
ii. The user agrees that he may quote parts of books, articles, periodicals, news, daily publications, literature, artistic or scientific works, among others,
provided he mentions the name of the respective author(s) and of the publication from where they were transcribed.
g. The user hereby represents to understand and confirm the material he creates is under his sole responsibility. The user understands that Widbook only allows
the disclosing of the material prepared by any user on the world wide web, not bound in any manner to the preparation thereof, and, therefore, it cannot be held
accountable for such materials or any effects arising thereof.
i. Should the User deem any materials disclosed by any other user within the Widbook website to be of offensive, indecent or reprehensible nature,
he may submit to Widbook a request for such material to be removed from the website.
a. Widbook, after receiving such request, will have the term of 30 (thirty) business days for processing, and, if applicable, remove the material deemed offensive,
indecent or reprehensible from the website.
b. The user, for being subject to be eventually exposed to any contents that are inaccurate, indecent or reprehensible, agrees to waive, as hereby waived,
any rights or legal or just indemnification, either present or future, against Widbook concerning such matters, and, to the extent as allowed under Law,
agrees to indemnify and exempt Widbook, its Owners, Operators, licensers and licensees, to the maximum extent allowed by law, regarding any issues concerning
the use of the Services.
h. The User shall be the only party responsible for its contents / materials, and for the consequences arising from submitting or publishing thereof.
The user affirms, states and represents to have the necessary licenses, rights, authorizations or permissions to publish any contents sent, and the User hereby authorizes
Widbook to use all patents, trademarks, trade secrets, copyrights or other proprietary rights, and such contents, for publishing in the services pursuant to this Term.
i. Incidentally, we clarify that the User holds all copyrights and intellectual property rights on the materials. However, when disclosing the materials on
Widbook website, the User hereby assigns to Widbook a world-wide license, non exclusive, royalty-free, possible of being sub-licensed and transferred, to use,
reproduce, prepare works based on such originals and display the materials, including, but not limited to activities of advertisement and partial or total
redistribution of the services (and byproducts thereof) in any form of media, and through any media vehicles and channels.
ii. The User affirms and confirms that he shall not send materials protected by copyrights, trade secrets or in any other way protected by third party's right,
unless allowed and authorized by the legitimate owner of the material, or, in the event it is legally authorized to publish the materials and assign to Widbook all licensing
rights herein granted.
i. The User understands that he may invite other users on the Widbook website to prepare, jointly and/or in cooperation, materials / contents to be published on the website.
Therefore, the User who has invited other users to participate in the preparation and/or cooperation of its material, shall be bound to mention the name of the co-authors and/or
cooperators when publishing the material on the website.
i. Specifically, for cases of co-authorship, when the material is created in conjunction by two or more users, the User understands that, pursuant to the copyrights and
intellectual property rights, he shall make express reference to the name of the co-author(s), including on the cover of the material, upon publishing on the website.
ii. In regards to the cooperating user, the User furthermore understands that he shall mention the name(s) of the cooperator(s) when publishing his material on the website.
j. The User may, at any time, require the removal of the materials in his name from the Widbook website. Widbook, after receiving such request, shall have the term of 30
(thirty) business days for proceeding the removal of the materials and contents thereof.
k. The User understands and agrees that, should he ceases accessing the account for an undetermined time, it shall remain active and all materials relating thereto shall remain
published on the website.
l. The User understands and agrees that, upon publishing his materials / contents in the Widbook website, he will allow other users of the website to have
full access thereto, whereas they may moreover make comments concerning such materials. Should the User not wish to grant access of other Widbook users to the content
he has published, he shall limit the access of other users, through the setting tools provided by Widbook. The User understands that Widbook does not guarantee
confidentiality of any contents the User submits.
i. The User grants to all service users a non-exclusive license to access its contents through the service, as well as to use, reproduce, distribute and display such contents,
to the extent as authorized by the functions of the service and pursuant to the terms set forth herein.
m. The User understands and agrees that the rights to economical use of the material submitted by him/her on the website is Widbook's.
n. The user, hereby represents to be aware that Widbook does not endorse any contents submitted to the services by any users or licensers or any opinion,
recommendation or advice stated therein.
o. Widbook expressly waives any and all liability in respect to the contents disclosed and published by its users.
Widbook does not allows activities that infringe copyrights, nor intellectual property rights in its Services, and Widbook shall remove all contents,
when duly notified that such contents infringe any other person's intellectual property rights. Widbook reserves the right to remove the content without giving
prior notice to the user.
p. The User understands that Widbook, when carrying out the necessary stages for providing the services to users, may (i) transmit or distribute the material
published by them through public networks and in several data media; and (ii) perform changes, as necessary, in the contents of the user to adjust / adapt it
to the technical network connection requirements, or requirements of devices, services or media. The User agrees that such license shall authorize Widbook to
implement such actions.
E. Waiver and Limitation of Liability
1. The User agrees that the use of the services shall be of its sole responsibility and risk, to the maximum extent authorized by law. Widbook, its executives,
directors, employees and representatives deny any liability, either direct or indirect, in respect to the services and the use thereof by the user.
2. Widbook, does not ensure, nor does it stand responsible for the accuracy or integrality of the contents on its website or in any website linked to it, not undertaking
any duty for any (i) mistakes, errors or inaccuracies in the content, (ii) personal or material damages of any nature, resulting from the access and or the use of our services,
(iii) any access or use of our serves that has not been authorized, (iv) any interruption or ceasing in the transmission from / to our services, (iv) any bugs, viruses,
Trojans or similar glitches that may be transmitted to / from our services by any third parties, and / or (v) any terms or omissions in any contents or any loss or damages of
any nature sustained as a result of the use of any contents or emails submitted, or in any other manner made available through our services.
3. Widbook does not ensure, endorse, defend or undertakes any liability for any product or service disclosed or offered by third parties through the services or through
any service' hyperlink, or displayed on any banners or any other kind of advertisement, and Widbook shall not take part, nor shall it be anyhow
responsible for monitoring any transaction between you and the outsourced providers of products or services.
4. The User is aware that he shall use the service with common sense, taking all due precautions and care.
5. Widbook, its executives, employees or agents, in no event shall be held liable for any direct, indirect, incidental, punitive or damages or misshapen arising
of any (i) errors, mistakes or inaccuracy in content, (ii) personal or material damages, of any nature, resulting from the access or use of our services, (iii)
any access or use of our protected servers and/or any personal and/or financial information stored therein that has not been authorized, (iv) any interruption
or ceasing in the transmission from / to our services, (iv) any bugs, viruses, Trojans or similar glitches that may be transmitted to / from our services by
any third parties, and / or (v) any terms or omissions in any contents or any loss or damages of any nature sustained as a result of the use of any contents
or emails submitted, or in any other manner made available through our services, either upon liability, contract, offense or any other legal provision, and,
regardless of the company being warned of such damages. The aforementioned limitation of liability shall be applicable to the maximum extent permitted
under law in the relevant competent jurisdiction.
6. The User acknowledges and confirms that Widbook shall not be held liable for the
defamatory contents or conduct, offensive or illegal or any third parties, and that the risk of loss or damages arising thereof is of the User's sole responsibility.
7. In terms of the maximum extent authorized under Law, the User agrees to defend, indemnify and relieve Widbook, its executives, directors, employees and
representatives of any judicial proceeding, damages, duties, losses, costs or debts (including, but not limited to attorneys' fees) arising of: (i) the
use and access to the services; (ii) breach to any clause set forth herein; (iii) infringement of any third party's rights, including, but not limited
to copyright, proprietary or privacy laws; and (iv) any claims that any content has caused damages to third parties. Such obligation of defense and indemnification
shall survive this Term and the use of the services.
F. Assignment
1. This Term any and of the rights and licenses granted hereunder, cannot
be transferred or assigned by the User, but they may be transferred by Widbook with no restriction.
G. Account Cancellation
1. The User understands and agrees that, should he cease to access the account for an undetermined period, it shall
remain active and all materials linked thereto shall remain published on the website.
2. Widbook shall not allow the User access to the services, and shall cancel its account, should the user reveal to be a repeated offender.
In other words, if, even after notified by Widbook the user maintains the infringing conduct and behavior more than twice.
3. Widbook shall not allow the User access to the services and shall proceed to cancel its account, should the User publish any material that imply
in breach or infringement to copyright laws, such as, for instance, but not limited to pornography, obscene or defamatory materials, (including defamation,
slandering or offense), or excessive long.
4. Widbook shall not allow the User access to the services and shall proceed to cancel the user's account,
should the User publish materials conflicting to the provisions set forth herein.
H. Definitions
1. The term WIDBOOK involves all resources and services we provide, including through our website www.widbook.com and any
other website or application pertaining to the trademark WIDBOOK or websites of shared trademarks (including sub domains, international versions, widgets and
mobile versions); (b) our platform.
2. The term feed means the screen where are displayed the messages and notifications published by other Widbook users.
3. The term information means the facts and other information regarding you, including your acts executed.
4. The term contents, involved anything you publish on Widbook, which does not fall into the definition of information.
5. The term materials, involves anything you publish on Widbook, which does not fall into the definition of information.
6. The term publish involves sharing on Facebook or contents made available to us in any other way (e.g.: using an application).
7. The term use, involves using, copying, acting or publicly disclosing, changing, distributing, translating and creating derivate works.
8. The term user involves a user that has joined WIDBOOK.
I. General provisions
The user is aware and agrees that the registered office of the services shall be solely considered the one located at Av Luis Smânio, 492,
Chapadão, Campinas, State of São Paulo, Brazil and, therefore, the provisions set forth herein shall be governed by the Laws of Brazil.
The User agrees that the sole jurisdiction elected to settle any claims, complaints, disputes or conflicts arising of this Term, is the Venue of
Campinas, State of São Paulo, Brazil.
All provisions and conditions set forth herein and any other legal disclaimers published by Widbook in the services are an integral part of the contract between
the user and Widbook in respect to the services.
In the event of any clause or provision of this Term is considered invalid, illegal or unenforceable by force of any legal or public order, all other
terms and provisions herein shall remain fully effective.
The waiver of this Term at any time shall not be construed as an additional or continued waiver of this or any other term, and the fail by Widbook in
exercising or enforcing any rights or clauses under this Term shall not be construed as a waiver of such rights or clauses.
Widbook reserves its rights to amend the present Term from time to time without prior notice to its Users. It is the sole responsibility of the User to
maintain itself informed of such amendments and to at all times read the latest version of this Term. The information shall be available to the User on the
footer of every page on the website, whereas the USER may refer to it at any given moment. We point out that is the User's duty to periodically read the present term,
so as to remain informed and be brought up to date to any amendments made herein.
Once is made any amendment to the present Term, the User will automatically accept all terms as amended.
The User and Widbook hereby agree and represent that any judicial proceeding arising of / in respect to the services, shall be filed within 1 (one) year after the
occurrence of the cause of action. Otherwise, the right shall expire under the statute of limitations.
